A purchase order is the buyer's instruction to supply. It converts a quotation into a commitment, and it is the reference every later document points back to — the supplier's invoice, the delivery challan, the goods receipt at your gate and the payment your accounts team releases.

GST law does not prescribe a purchase order, so nothing here is a legal mandate. What is here is what actually prevents disputes: exact specifications, separate bill-to and ship-to addresses, the tax you expect, and terms that state who pays for freight and what happens if delivery slips.

What this format must carry

Every field below, with whether it is mandatory and what it is for.

How a purchase order fits the paper trail

The normal sequence in Indian trade is quotation, purchase order, delivery challan or invoice, goods receipt, then payment. The PO number should travel through all of them, because that is what lets your accounts team match three documents — order, receipt and invoice — before releasing money.

A purchase order is not a GST document. It creates no liability for the supplier and no credit for you. Only the supplier's tax invoice does that, which is why the PO should be explicit that invoicing must follow it exactly.

The fields that prevent real disputes

Ship-to address is the big one. If your registered office is in one state and the delivery site is in another, the supplier must charge tax based on where the goods actually go — get this wrong and you are stuck with credit in a state you cannot use it.

After that: specification, quantity tolerance, freight responsibility, packing, and what happens on short or late supply. Writing "as per discussion" in any of these places guarantees the discussion will be repeated later, less pleasantly.

Checking the invoice against the order

When the supplier's invoice arrives, match it against the PO before it enters your books: rate, quantity, HSN, tax head and total. A tax head that does not match your ship-to state is the mismatch that most often blocks input tax credit.
